Terms of Use
These Terms govern your use of the HolyNote iOS app, website, AI processing service, and related features. Please read them before using HolyNote.
These Terms supplement Apple’s Standard Licensed Application End User License Agreement (“Apple Standard EULA”). The Apple Standard EULA applies to your licence to the iOS app. If these Terms conflict with mandatory Apple terms for the licensed app, the applicable Apple terms control.
1. Agreement and provider
HolyNote and its related services (the “Service”) are provided by JOMATS FZCO, company number DSO-FZCO-14516, at Dubai Silicon Oasis, DDP, Building A2, Dubai, United Arab Emirates (“JOMATS”, “we”, “us”, or “our”). By downloading, accessing, purchasing, or using HolyNote, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. What HolyNote provides
HolyNote lets you record or import audio, keep notes, scan and study Scripture, create notes from authorized online sources, read Bible content, follow daily reflections, and request AI-generated transcripts, summaries, study material, and answers. Features may vary by device, region, app version, subscription, connectivity, and third-party availability.
3. Eligibility
You must be legally able to enter this agreement. HolyNote is not directed to children under 13, or a higher minimum age where local law requires it. If you are under the age of majority where you live, a parent or guardian must approve any purchase and your use of paid features.
4. Your content and permissions
You keep ownership of audio, notes, images, questions, and other content you submit (“User Content”). You grant us and our processors a limited, worldwide, non-exclusive licence to host, transmit, reproduce, transform, and process User Content only as needed to operate, secure, and improve the requested Service and comply with law.
You represent that you have all rights, permissions, and consents needed to submit User Content. In particular:
- tell people when recording them and obtain consent where required;
- process a YouTube video, sermon, audio file, image, or text only when you own it or have authorization;
- do not use HolyNote to bypass access controls, DRM, paywalls, private-video restrictions, or geographic restrictions;
- do not submit unlawful, infringing, abusive, deceptive, or privacy-invasive content.
HolyNote is not a backup or archival service. Keep your own copy of content you cannot replace.
5. AI-generated content
Transcripts, Bible references, summaries, interpretations, definitions, prayers, and other AI output may be incomplete, inaccurate, misleading, or unsuitable for your situation. Always compare quotations with the original source and a trusted Bible edition. HolyNote does not replace a pastor, theologian, counsellor, doctor, lawyer, or other qualified professional.
You are responsible for reviewing output before relying on, publishing, teaching, or sharing it. Do not use AI output to make high-impact legal, medical, financial, safety, employment, or other consequential decisions. We do not guarantee a particular theological interpretation, doctrine, denomination, translation, or outcome.
6. Bible and third-party content
HolyNote’s built-in Bible, Hourly Verse, and Today Scripture use the faithful, unmodified 66-book protocanon edition of the World English Bible (WEB) published by eBible.org. The WEB text is dedicated to the public domain. “World English Bible” is a trademark of eBible.org and is used here to identify that unchanged source text.
A Bible page, quotation, video, link, audio recording, or other material you submit may come from a different third party or rights holder. HolyNote’s display or analysis of that user-provided material does not transfer ownership or authorize redistribution. You must own the material or have authorization to process it and must comply with the applicable rights holder’s and platform’s terms.
For an authorized YouTube link, HolyNote uses temporary media or captions only to create the transcript and note you request. HolyNote does not provide a general video-download or archival service; temporary processing copies are normally removed as described in the Privacy Policy.
7. Subscriptions, trials, and billing
Some features may require an auto-renewing subscription purchased through Apple’s App Store. Before purchase, HolyNote will show the subscription name, duration, included access, full renewal price, and any trial terms.
- Payment is charged to your Apple Account when you confirm the purchase.
- A subscription renews automatically for the displayed period unless you cancel at least 24 hours before the end of the current period.
- Your Apple Account may be charged for renewal within 24 hours before the current period ends.
- If a free trial is offered, the duration and post-trial price are shown before purchase. Unless cancelled in time, it converts to a paid subscription.
- You can manage or cancel through iOS Settings or Apple’s subscription management page. Deleting HolyNote does not cancel a subscription.
- Use “Restore Purchases” in HolyNote to request restoration of an eligible App Store purchase.
- Billing, cancellation, refund eligibility, and family-sharing availability are administered by Apple and applicable law. You may request a refund through Apple’s Report a Problem.
Prices, taxes, currencies, eligibility, and available plans may vary by storefront. We may change future pricing or features as allowed by Apple and applicable law, with required notice.
8. Acceptable use
You may use HolyNote for personal, lawful purposes. You must not:
- reverse-engineer, disrupt, overload, scrape, automate abusive requests, or attempt unauthorized access to the Service;
- circumvent subscriptions, rate limits, authentication, safety controls, or content restrictions;
- copy, resell, sublicense, or commercially exploit HolyNote or its curated content except where law or a separate licence permits;
- use the Service to violate privacy, publicity, copyright, platform, or other rights;
- upload malware or content designed to manipulate, attack, or extract confidential system information.
9. Ownership and app licence
HolyNote’s software, design, branding, prompts, generated content structures, and curated content are owned by JOMATS FZCO or its licensors and protected by law. Subject to these Terms and the Apple Standard EULA, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use HolyNote on Apple devices you own or control for personal, non-commercial purposes. No other rights are granted.
10. Privacy
Our Privacy Policy explains which information stays on your device, which content is processed online, service-provider involvement, retention, and your choices. By using an online feature, you instruct us to process the content needed to provide that feature.
11. Availability and changes
We may update, add, limit, suspend, or remove features, content, models, integrations, or device support. Online features require a network connection and may be affected by Apple, OpenAI, YouTube, Adapty, AppsFlyer, hosting providers, or other third parties. We do not promise that every feature will always be available, uninterrupted, error-free, or compatible with every source.
12. Suspension and termination
You may stop using HolyNote at any time. We may limit or suspend access when reasonably necessary to protect users or the Service, investigate misuse, comply with law, or respond to a breach of these Terms. Ending access does not automatically cancel an Apple subscription; manage it through Apple.
13. Disclaimers
To the fullest extent permitted by law, HolyNote is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that content or AI output will meet your needs. Mandatory consumer rights remain unaffected.
14. Limitation of liability
To the fullest extent permitted by law, JOMATS FZCO and its directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of data, revenue, goodwill, or opportunity; or harm caused by reliance on AI output or unauthorized User Content. Our aggregate liability relating to the Service will not exceed the greater of the amount you paid for HolyNote in the 12 months before the event giving rise to the claim or USD 50. Nothing excludes liability that cannot lawfully be excluded or limited.
15. Indemnity
Where permitted by law, you agree to defend and indemnify JOMATS FZCO against third-party claims, losses, and reasonable costs arising from your unlawful User Content, your infringement of another person’s rights, or your material breach of these Terms. This does not apply to the extent a claim results from our own unlawful conduct.
16. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law principles. Courts in Dubai have jurisdiction, unless mandatory consumer law in your country gives you the right to bring a claim elsewhere. Before filing a claim, please contact us so we can try to resolve the issue informally.
17. Changes to these Terms
We may revise these Terms as HolyNote or legal requirements change. We will update the date above and provide additional notice where required. If you continue using HolyNote after revised Terms become effective, you accept them. If you do not accept a material revision, stop using the Service and cancel any future renewal.
